The report should be done at reasonable expense, exclude proprietary information, and provide transparency on outcomes, using quantitative metrics for hiring, promotion, and retention of employees, including data by gender, race, and ethnicity.

BE IT RESOLVED:  Shareholders request that the Board of Directors issue a public report, omitting confidential information and at reasonable expense, on the likely risks or costs to the Company and its employees caused by a broad decline in the quality of accessible employee medical care and the Company’s strategy to ameliorate these harms.

BE IT RESOLVED:  Shareholders request that the Board prepare a publicly available report, at reasonable cost and omitting proprietary and privileged information, to assess the benefits and drawbacks to our Company of: (1) prohibiting all political advertising on its platforms and (2) restoring the type of enhanced actions put in place during the 2020 election cycle to reduce the platform’s amplification of false and divisive information.

BE IT RESOLVED: Shareholders request that Manhattan Associates issue a public report on the effectiveness of the Company’s diversity, equity, and inclusion efforts.

BE IT RESOLVED: Shareholders request the Board annually report, at reasonable expense, on Verizon’s political and electioneering expenditures, identifying and analyzing incongruence between such expenditures and the Company’s operational and strategic needs and its stated values and policies. The report should state whether Verizon has made, or plans to make, changes in contributions or communications as a result of identified incongruencies.

BE IT RESOLVED:  Shareholders request that NCR Voyix report to shareholders on the effectiveness of the Company's diversity, equity, and inclusion efforts. The report should be done at reasonable expense, exclude proprietary information, and provide transparency on outcomes, using quantitative metrics for workforce diversity, hiring, promotion, and retention of employees, including data by gender, race, and ethnicity.

BE IT RESOLVED: Shareholders request the Board annually report, at reasonable expense, on Molina Healthcare’s political and electioneering expenditures, identifying and analyzing any potential incongruence between such expenditures and its stated values and policies. The report should state whether Molina has made or plans to make changes in contributions or communications as a result of identified incongruencies.

BE IT RESOLVED:  Shareholders request that United Parcel Service Inc. (UPS) report to shareholders on the effectiveness of the Company's diversity, equity, and inclusion efforts. BE IT RESOLVED:  Shareholders request that the Board of Directors issue a public report, omitting confidential information and at reasonable expense, detailing known or potential risks or costs to the Company and its employees caused by the decline in the quality of their accessible medical care and the Company’s strategy to ameliorate these harms.

As You Sow (the “Proponent) is submitting the following floor proposal (the “Proposal”) in coalition with Investor Advocates for Social Justice pursuant to the bylaws of Tesla, Inc. (the “Company”) to be presented at the 2023 annual meeting of shareholders.

BE IT RESOLVED:  The Board of Directors of Delta Airlines shall adopt and disclose a Non-interference Policy (“Policy”) upholding the rights to freedom of association and collective bargaining in its operations, as reflected in the International Labour Organization’s Declaration on Fundamental Principles and Rights at Work (“Fundamental Principles”). The Policy should contain a commitment to:

• Non-interference when employees seek to form or join a trade union, and a prohibition against acting to undermine this right or pressure employees not to form or join a trade union;

• Good faith and timely collective bargaining if employees form or join a trade union;

• Uphold the highest standard where national or local law differs from international human rights standards;

• Define processes to identify, prevent, account for, and remedy practices that violate or are inconsistent with the Policy.

BE IT RESOLVED: Shareholders request that our Board issue a public report detailing any known and potential risks and costs to the Company of fulfilling information requests regarding Verisk customers for the enforcement of state laws criminalizing abortion access, and setting forth any strategies beyond legal compliance that the Company may deploy to minimize or mitigate these risks. The report should be produced at reasonable expense, exclude proprietary or legally privileged information, and be published within one year of the annual meeting.

RESOLVED:  Shareholders request that McDonald’s Board of Directors issue a public report prior to December 31, 2023, omitting confidential information and at reasonable expense, describing any known and potential risks or costs to the company caused by enacted or proposed state policies severely restricting reproductive rights, and detailing any strategies beyond litigation and legal compliance that the company may deploy to minimize or mitigate these risks. 

BE IT RESOLVED: Shareholders request the Board, at reasonable expense and excluding proprietary or legally privileged information, prepare and publish a report analyzing why the enforcement of “Community Standards” as described in the “Transparency Center” has proven ineffective at controlling the dissemination of user content that contains or promotes hate speech, disinformation, or content that incites violence and/or causes harm to public health or personal safety.
